Appreciation Program Terms & Conditions

These Rugiet Appreciation Discount Program Terms and Conditions (“Program Terms”) govern participation in the Rugiet Appreciation Discount Program (“Program”) offered by MSB Holdings Inc. (“Rugiet,” “we,” “us,” or “our”).


The Program provides eligible members of the military and veteran community, first responders, nurses, and educators with access to a promotional discount on qualifying Rugiet purchases, subject to these Program Terms.


By applying for, accepting, or using a Program discount, you acknowledge and agree to these Program Terms, Rugiet’s Terms of Use, Privacy Policy, and any additional terms presented during eligibility confirmation, medical intake, checkout, or purchase.


1. Eligibility


The Program is available only to individuals who:


  1. are at least eighteen years old or the applicable age of majority in their jurisdiction;
  2. reside in a United States jurisdiction in which Rugiet offers the applicable product or service;
  3. maintain a valid Rugiet account;
  4. belong to at least one eligible group described below;
  5. complete Rugiet’s required eligibility confirmation process; and
  6. otherwise comply with these Program Terms.


Eligibility categories may include the following, subject to Rugiet’s Program requirements.


A. Military and Veterans


Eligible military participants may include:


  • active-duty members of the United States Armed Forces;
  • members of the National Guard or Reserves;
  • veterans of the United States Armed Forces;
  • military retirees; and
  • military spouses and dependents.


Participants must truthfully confirm that they hold a qualifying military, veteran, retiree, spouse, or dependent status.


B. First Responders


Eligible first responders may include actively employed or retired:

  • law enforcement officers;
  • firefighters;
  • emergency medical technicians;
  • paramedics; and
  • emergency dispatchers.


Volunteer, administrative, private-sector, or other related personnel are not eligible unless otherwise stated by Rugiet.


C. Nurses


Eligible nursing professionals may include individuals who currently hold, or previously held in the case of retired nurses, a qualifying nursing credential as a:

  • registered nurse;
  • licensed practical nurse or licensed vocational nurse;
  • nurse practitioner;
  • certified registered nurse anesthetist;
  • clinical nurse specialist;
  • certified nurse midwife; or
  • retired nurse.

Nursing students, nursing assistants, medical assistants, and other healthcare professionals are not eligible unless otherwise stated by Rugiet.


D. Educators


Eligible educators may include actively employed:

  • teachers;
  • professors or instructors;
  • school administrators;
  • school counselors;
  • librarians; and
  • instructional support professionals.

Eligible educational institutions may include public K–12 schools, private K–12 schools, charter schools, colleges, universities, and preschools.


Substitute teachers, retired educators, homeschool educators, students, contractors, coaches, and non-instructional school employees are not eligible unless otherwise stated by Rugiet.


2. Eligibility Confirmation


Participation in the Program is subject to completion of Rugiet’s eligibility confirmation process.


As part of this process, applicants may be asked to provide information identifying the qualifying community to which they belong and other information reasonably necessary to administer the Program.


By submitting a request to participate in the Program, you certify that:

  • the information you provide is accurate, current, and complete;
  • you satisfy the eligibility requirements for the community you select;
  • you are requesting the discount for your own personal use; and
  • you will notify Rugiet if information material to your eligibility changes.

Rugiet may review submitted information and may, in its reasonable discretion:

  • request clarification or additional information;
  • deny incomplete, inaccurate, inconsistent, or otherwise ineligible submissions;
  • require eligibility to be confirmed again at a later date;
  • suspend Program benefits while eligibility is being reviewed; and
  • determine whether an applicant satisfies the Program requirements.

Rugiet is not required to approve every application or provide a Program discount solely because an applicant submits an eligibility request.


Rugiet may modify its eligibility confirmation procedures from time to time, including by using additional confirmation methods or third-party verification services.


Confirmation of Program eligibility does not establish eligibility for medical treatment, prescription medication, or any particular Rugiet product.


3. Discount


Eligible participants whose Program requests are approved will receive:


15% off eligible purchases or products.


The Program discount may be provided through a promotional code, account-level discount, account credit, customer-support adjustment, or another method designated by Rugiet.


The Program discount may apply to qualifying initial and subsequent purchases as determined by Rugiet and subject to the eligibility and exclusion terms below.


Unless otherwise expressly stated, the Program discount:

  • applies only to eligible products or purchases designated by Rugiet;
  • does not apply to taxes;
  • does not apply to shipping; and
  • does not apply to fees, products, or services that Rugiet identifies as excluded.

The discount has no cash value and may not be redeemed for cash, transferred, sold, exchanged, auctioned, reproduced, or applied to a prior purchase.


4. Eligible and Excluded Products


Eligible products may include treatments or services across Sex, Testosterone, Sleep, Longevity, and Weight, as designated by Rugiet.


The Program discount does not apply to:

  • gift cards or account credits;
  • taxes, shipping, or other fees, except where expressly stated;
  • purchases made through third-party sellers or platforms;
  • purchases completed before Program eligibility is approved;
  • prior or completed transactions; or
  • any other product or service Rugiet identifies as excluded.

Product eligibility, availability, formulations, pricing, and Program participation may vary by state and may change at any time.


5. Prescription Products and Medical Eligibility


The Program is a promotional pricing program only. It is not an offer, promise, or guarantee of medical treatment or prescription medication.


Prescription products require completion of Rugiet’s applicable medical intake and evaluation by a licensed healthcare provider. The provider will independently determine whether a product or treatment is medically appropriate based on the participant’s individual health information and applicable standards of care.


Eligibility for the Program does not:

  • guarantee that a prescription will be issued;
  • influence a provider’s clinical judgment;
  • guarantee access to any particular medication, dosage, formulation, or treatment;
  • replace a medical evaluation; or
  • establish that a product is appropriate for the participant.

If a participant is not approved for treatment, the participant will not be entitled to receive a prescription product solely because the participant qualified for the Program.


6. Limitations and Promotional Restrictions


Unless Rugiet expressly states otherwise, the Program discount:

  • may not be combined with coupons, promotional codes, referral credits, sale pricing, introductory offers, account credits, or other discounts;
  • is limited to one Program membership per person;
  • is limited to one Rugiet account per participant;
  • may be used only by the eligible participant;
  • may not be shared with family members, friends, coworkers, patients, students, or other individuals;
  • may not be used for resale, reimbursement, or commercial purposes; and
  • may not be applied retroactively.

If multiple promotions could apply to a transaction, Rugiet may apply the promotion that provides the greatest discount or require the participant to select one promotion, in Rugiet’s discretion.


Program discounts may not be covered by or submitted for reimbursement through insurance, health plans, flexible spending accounts, health savings accounts, or similar arrangements unless independently permitted by the applicable plan and law. Participants are responsible for determining whether a purchase is eligible for reimbursement.


7. Duration and Continued Eligibility


Program eligibility will remain valid for the period determined by Rugiet unless earlier suspended, revoked, or terminated.

Rugiet may ask a participant to confirm eligibility again when:

  • the participant’s qualifying status may have changed;
  • information associated with the participant’s Program request is no longer current;
  • Rugiet has reason to believe the participant may no longer meet Program requirements;
  • Rugiet changes its eligibility confirmation procedures; or
  • additional confirmation is reasonably necessary to administer or protect the Program.

A participant who no longer meets the eligibility requirements must stop using the Program discount.


8. Account Requirements


The Program discount must be associated with the eligible participant’s Rugiet account.


The participant’s Rugiet account information must reasonably correspond to the information submitted in connection with the Program.


Rugiet may deny, suspend, or remove a Program discount when there is a material mismatch or inconsistency involving the participant’s name, email address, account information, eligibility information, or other information submitted in connection with the Program.


Participants may not create multiple accounts to obtain additional Program discounts or circumvent Program restrictions.


9. Returns, Refunds, Cancellations, and Credits


Purchases made through the Program remain subject to Rugiet’s applicable cancellation, refund, return, replacement, and subscription policies.

Unless required by law or expressly approved by Rugiet:

  • Program discounts cannot be applied after a transaction is completed;
  • the discount amount will not be refunded as cash or account credit;
  • refunds will not exceed the amount actually paid by the participant; and
  • cancellation of a subscription does not create a right to preserve Program pricing for a later purchase.

If Rugiet provides a discretionary credit or refund, that action does not require Rugiet to provide the same accommodation in the future.


10. Applicant Certification and Prohibited Conduct


By applying to participate in the Program, you represent and certify that the eligibility information you provide is truthful and relates to your own qualifying status.


Participants may not:

  • provide false, misleading, incomplete, or fraudulent eligibility information;
  • falsely identify themselves as belonging to an eligible community;
  • impersonate another person;
  • rely on another person’s employment, credentials, service history, or qualifying status to obtain Program benefits;
  • share, sell, publish, or distribute a Program code or other Program benefit;
  • use automated methods to obtain or distribute discounts;
  • create multiple accounts to obtain additional benefits;
  • use the Program for resale or commercial purchasing;
  • attempt to circumvent Program eligibility requirements; or
  • otherwise misuse the Program.

Rugiet may investigate suspected misuse and may request additional information reasonably necessary to determine Program eligibility.


11. Suspension or Termination


Rugiet may deny, suspend, revoke, or terminate Program access when Rugiet reasonably determines that:

  • the participant is no longer eligible;
  • eligibility cannot reasonably be confirmed;
  • information submitted in connection with the Program was inaccurate, misleading, incomplete, or false;
  • the participant has violated these Program Terms;
  • fraud, abuse, unauthorized sharing, or misuse is suspected;
  • the Program discount was issued or applied in error;
  • continued participation may violate applicable law or contractual obligations; or
  • suspension or termination is otherwise reasonably necessary to protect Rugiet, its providers, partners, or other participants.

Upon suspension or termination, the participant will no longer be entitled to Program pricing. Rugiet may also cancel associated promotional codes, remove account-level discounts, or disable other Program benefits.


Rugiet reserves any other rights or remedies available under its Terms of Use or applicable law.


12. Changes to or Discontinuation of the Program


Rugiet may modify, suspend, restrict, or discontinue the Program or any portion of it at any time, subject to applicable law.


Changes may include modifications to:

  • eligibility categories;
  • eligibility confirmation procedures;
  • discount amounts;
  • eligible products;
  • excluded products;
  • duration or renewal requirements;
  • promotional restrictions; or
  • Program availability.

Changes will become effective on the date stated in the revised Program Terms or accompanying notice. Continued use of the Program after the effective date of revised Program Terms constitutes acceptance of the revised terms.


No participant has a vested or permanent right to any discount, price, product, or Program benefit.


13. Privacy


Information collected in connection with the Program will be handled in accordance with Rugiet’s Privacy Policy.

Program information may be used to:

  • determine and confirm Program eligibility;
  • administer the Program;
  • prevent fraud, misuse, or unauthorized sharing;
  • provide customer support;
  • maintain Program records; and
  • comply with legal obligations.

If Rugiet uses a third-party service in the future to assist with Program eligibility or administration, information submitted through that service may also be subject to the third party’s applicable privacy policy and terms.


Rugiet will not use Program eligibility information, including a participant’s qualifying community or category, self-identification, or Program discount status, for advertising or marketing purposes. This includes direct marketing, audience creation, segmentation, campaign targeting, personalization, cross-selling, or other marketing activities based on Program participation or eligibility information.


Rugiet will not use Program eligibility information for internal marketing analysis, profiling, or marketing strategy development, and will not combine Program eligibility information with other customer information for those purposes.


This restriction does not prevent Rugiet from sending a participant general marketing communications where otherwise permitted under Rugiet’s Privacy Policy and applicable law, provided that Program eligibility information, qualifying category, self-identification, or discount status is not used to determine whether the participant receives the communication or to personalize, target, or otherwise inform the marketing.


Program eligibility information is separate from the submission and use of health information in connection with Rugiet’s medical services.


14. Errors


Rugiet is not responsible for typographical, technical, pricing, eligibility, account, or system errors.


If a discount is incorrectly described, issued, calculated, or applied, Rugiet may correct the error, cancel the discount, adjust the transaction before fulfillment, or take another reasonable corrective action, subject to applicable law.


15. No Endorsement or Government Affiliation


The Program is independently offered by Rugiet.


Unless expressly stated otherwise, the Program is not sponsored, administered, endorsed, approved, or funded by:

  • the United States government;
  • the United States Department of Defense;
  • any branch of the United States Armed Forces;
  • the Department of Veterans Affairs;
  • any federal, state, or local public-safety agency;
  • any licensing board;
  • any school, school district, college, or university;
  • any professional association; or
  • any participant’s employer.

The use of occupational or service categories is solely for determining and administering Program eligibility and benefits and will not be used for advertising, marketing, marketing segmentation, targeting, profiling, or internal marketing analysis.


16. Relationship to Other Rugiet Terms


These Program Terms supplement Rugiet’s Terms of Use, Privacy Policy, applicable telehealth consent, subscription terms, informed-consent documents, and product-specific terms.


If these Program Terms conflict with Rugiet’s general Terms of Use regarding administration of the Program, these Program Terms will control solely with respect to the Program. All other conflicts will be resolved in accordance with the applicable Rugiet terms and documents.


17. Disclaimer


TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. RUGIET DOES NOT WARRANT THAT THE PROGRAM, ELIGIBILITY CONFIRMATION PROCESS, DISCOUNT, OR ANY PARTICULAR PRODUCT WILL REMAIN AVAILABLE, OPERATE WITHOUT INTERRUPTION, OR BE FREE FROM ERROR.


NOTHING IN THESE PROGRAM TERMS LIMITS ANY NON-WAIVABLE RIGHTS AVAILABLE TO A PARTICIPANT UNDER APPLICABLE LAW.


18. Governing Law and Dispute Terms


These Program Terms are governed by the laws specified in Rugiet’s Terms of Use, without regard to conflict-of-law principles, except to the extent otherwise required by applicable law.


Any dispute relating to the Program will be resolved in accordance with the dispute-resolution, arbitration, class-action waiver, venue, and governing-law provisions contained in Rugiet’s Terms of Use, as applicable.


19. Severability


If any provision of these Program Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.
